- Trade Consultation: Advisory services on sourcing strategy, market entry, and procurement practices.

3. Limitation of Liability
Universal Axis Trade Limited operates strictly as a coordination and support intermediary. The following limitations apply:
- We do not manufacture, produce, or directly supply any goods. Product quality is entirely dependent on the chosen third-party supplier or manufacturer.
- While we assist with supplier verification, we do not provide absolute guarantees of supplier performance, product quality, or future business conduct.
- Clients make all final purchasing decisions independently. We provide recommendations and coordination support only.
- We do not guarantee customs clearance outcomes, as these depend on applicable laws, regulations, and third-party customs authorities.
- Shipping delays, damages, or losses in transit are subject to the policies of third-party logistics and freight providers.
- In no event shall Universal Axis Trade Limited be liable for indirect, incidental, consequential, or punitive damages arising from use of our services.
- Our total aggregate liability shall not exceed the fees paid by the client for the specific service engagement in question.
4. Supplier & International Trade Risks
Engaging in international trade involves inherent risks outside the control of Universal Axis Trade Limited. By engaging our services, clients acknowledge and accept the following:
- Shipping & Logistics Delays: Transit times depend on third-party carriers, port conditions, and customs processing timelines.
- Customs Inspections: Shipments may be subject to inspection, detention, or additional duties imposed by customs authorities.
- Currency Fluctuations: International transactions are subject to exchange rate movements entirely beyond our control.
- Regulatory Changes: Import/export regulations, tariffs, and trade policies may change and materially affect transactions.
- Supplier Performance: Third-party suppliers operate independently. We cannot guarantee production timelines, quality standards, or delivery commitments.
- Force Majeure: Events including natural disasters, political instability, pandemics, or port strikes may disrupt trade operations.
5. Client Responsibilities
- Clients must provide accurate, complete, and timely information to enable effective coordination.
- Clients are solely responsible for ensuring compliance with applicable import/export laws, permits, and regulations in their jurisdiction.
- Clients must review all supplier agreements, contracts, and purchase orders independently and seek appropriate legal or commercial advice before execution.
- Clients must conduct their own financial due diligence before committing to any international purchase transaction.
- Clients are responsible for arranging applicable trade insurance, import duties, licensing requirements, and any other regulatory obligations.
6. Payment Terms
Service fees are agreed upon in writing prior to commencement of work. Payments are non-refundable once services have commenced unless otherwise specified in a written service agreement. Universal Axis Trade Limited reserves the right to suspend coordination services for outstanding payments.
7. Confidentiality
Both parties agree to maintain strict confidentiality regarding proprietary information, business data, supplier details, pricing, and commercial terms shared during the engagement. This obligation survives the termination of any service agreement.
8. Intellectual Property
All branding, website content, service documentation, proprietary methodologies, and marketing materials published by Universal Axis Trade Limited are our exclusive intellectual property. Unauthorized reproduction, redistribution, or commercial use is strictly prohibited without prior written consent.
9. Governing Law & Jurisdiction
