Please read these Terms of Service carefully before using our website or engaging our services. By accessing universalaxistrade.com or submitting an inquiry, you agree to be bound by these terms.

1. Company Overview & Role

Universal Axis Trade Limited is a professional sourcing coordination, procurement assistance, and international trade support company. We operate as a professional intermediary — connecting businesses with potential international suppliers and coordinating trade-related processes on behalf of our clients.

We are not a manufacturer, distributor, freight company, or customs agent. We provide coordination, advisory, and facilitation services only. All final purchasing decisions, supplier agreements, and trade arrangements remain the sole responsibility of the client.

2. Service Scope

Universal Axis Trade Limited provides the following professional services:

  • Supplier Sourcing: Identifying and shortlisting potential international suppliers based on client requirements.
  • Supplier Verification Assistance: Due diligence checks to assist clients in assessing supplier legitimacy and credentials.
  • Procurement Coordination: Managing purchase order processes, production follow-up, and quality inspection coordination.
  • Shipment Coordination: Liaising with freight forwarders and providing documentation support for international shipments.
  • Trade Consultation: Advisory services on sourcing strategy, market entry, and procurement practices.
  • Market Intelligence: Research-based insights on global supplier markets and trade conditions.

3. Limitation of Liability

Universal Axis Trade Limited operates strictly as a coordination and support intermediary. The following limitations apply:

  • We do not manufacture, produce, or directly supply any goods. Product quality is entirely dependent on the chosen third-party supplier or manufacturer.
  • While we assist with supplier verification, we do not provide absolute guarantees of supplier performance, product quality, or future business conduct.
  • Clients make all final purchasing decisions independently. We provide recommendations and coordination support only.
  • We do not guarantee customs clearance outcomes, as these depend on applicable laws, regulations, and third-party customs authorities.
  • Shipping delays, damages, or losses in transit are subject to the policies of third-party logistics and freight providers.
  • In no event shall Universal Axis Trade Limited be liable for indirect, incidental, consequential, or punitive damages arising from use of our services.
  • Our total aggregate liability shall not exceed the fees paid by the client for the specific service engagement in question.

4. Supplier & International Trade Risks

International sourcing, procurement, and trade activities involve inherent risks and uncertainties that may be outside the direct control of Universal Axis Trade Limited. By engaging our services, clients acknowledge and accept the following:

  •  Shipping & Logistics Delays:  Shipment transit times are dependent upon third-party logistics providers, freight forwarders, shipping lines, airlines, port operations, and customs authorities. Delays may occur due to factors beyond our reasonable control.

 

  •  Customs Inspections & Regulatory Procedures:  Goods may be subject to customs inspections, clearance reviews, documentation verification, detention, quarantine procedures, duties, taxes, or other regulatory requirements imposed by governmental authorities.

 

  •  Currency Exchange Fluctuations:  International transactions may be affected by changes in foreign exchange rates, banking charges, and cross-border payment processing costs. Universal Axis Trade Limited shall not be responsible for losses arising from currency market fluctuations.

 

  • Regulatory & Trade Policy Changes:  Import regulations, export controls, tariffs, trade restrictions, sanctions, licensing requirements, and governmental policies may change without prior notice and may impact transaction timelines, costs, or feasibility.

 

  • Supplier Performance & Third-Party Conduct:  Suppliers, manufacturers, inspection companies, freight providers, and other third parties operate independently of Universal Axis Trade Limited. While reasonable due diligence and coordination efforts may be undertaken, Universal Axis Trade Limited does not warrant or guarantee supplier performance, production schedules, product quality, business continuity, or delivery commitments.

 

  •  Force Majeure:  Universal Axis Trade Limited shall not be liable for delays, disruptions, or failures resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, epidemics, war, civil unrest, political instability, labor disputes, government actions, transportation disruptions, cyber incidents, or port closures.

 

  • Professional Coordination Services:  Universal Axis Trade Limited provides sourcing support, supplier verification assistance, procurement coordination, quality inspection coordination, and logistics coordination services. Clients acknowledge that international trade inherently involves third-party risks that cannot be entirely eliminated.

5. Client Responsibilities

  • Clients must provide accurate, complete, and timely information to enable effective coordination.
  • Clients are solely responsible for ensuring compliance with applicable import/export laws, permits, and regulations in their jurisdiction.
  • Clients must review all supplier agreements, contracts, and purchase orders independently and seek appropriate legal or commercial advice before execution.
  • Clients must conduct their own financial due diligence before committing to any international purchase transaction.
  • Clients are responsible for arranging applicable trade insurance, import duties, licensing requirements, and any other regulatory obligations.

6. Payment Terms

Service fees are agreed upon in writing prior to commencement of work. Payments are non-refundable once services have commenced unless otherwise specified in a written service agreement. Universal Axis Trade Limited reserves the right to suspend coordination services for outstanding payments.

7. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information, business data, supplier details, pricing, and commercial terms shared during the engagement. This obligation survives the termination of any service agreement.

8. Intellectual Property

All branding, website content, service documentation, proprietary methodologies, and marketing materials published by Universal Axis Trade Limited are our exclusive intellectual property. Unauthorized reproduction, redistribution, or commercial use is strictly prohibited without prior written consent.

9. Governing Law & Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of [Jurisdiction  to be confirmed upon formal legal incorporation: Malaysia / Nigeria]. Any disputes arising shall be subject to the exclusive jurisdiction of the competent courts of the applicable jurisdiction. This section will be formally updated upon completion of incorporation filings.

10. Amendments

Universal Axis Trade Limited reserves the right to update these Terms at any time. Continued use of our services or website following notification of changes constitutes acceptance of the revised Terms.
